1. Agreement to Terms

By accessing and using the services provided by Force Media ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access our services.

Continued use of our services constitutes acceptance of these Terms and any modifications we may make.

2. Description of Services

Force Media provides comprehensive digital services including but not limited to:

• Digital Marketing: Social media management, content creation, and advertising campaigns
• Marketing Automation: Automated marketing workflows and customer journey optimization
• Branding Services: Brand strategy, visual identity, and brand development
• Analytics and Reporting: Performance tracking, data analysis, and strategic insights
• Consulting Services: Strategic marketing advice and business growth consultation
• Related Tools and Technologies: Marketing technology implementation and optimization

3. User Responsibilities

As a user of our services, you agree to:

• Lawful Use: Use our services only for lawful purposes and in accordance with applicable laws and regulations
• Responsible Conduct: Act responsibly and professionally in all interactions with our team and platforms
• Accurate Information: Provide accurate, current, and complete information about yourself and your business
• Content Compliance: Ensure all content provided to us complies with applicable laws and platform policies
• Intellectual Property: Respect intellectual property rights and provide necessary permissions for content use
• Confidentiality: Maintain confidentiality of any proprietary information shared during our collaboration

4. Prohibited Uses

You may not use our services for:

• Any unlawful purpose or to solicit others to perform unlawful acts
• Violating any international, federal, provincial, or state regulations, rules, laws, or local ordinances
• Infringing upon or violating our intellectual property rights or the intellectual property rights of others
• Harassing, abusing, insulting, harming, defaming, slandering, disparaging, intimidating, or discriminating
• Submitting false or misleading information
• Uploading or transmitting viruses or any other type of malicious code

5. Intellectual Property

All content, features, and functionality of our services are owned by Force Media and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Work product created specifically for clients may be transferred to clients upon full payment, as outlined in individual service agreements.

6. Payment and Billing

Payment terms are specified in individual service agreements. Generally:

• Services are billed in advance on a monthly or project basis
• Payment is due within 7 days of invoice date unless otherwise specified
• Late payments may result in service suspension or termination
• Refunds are handled on a case-by-case basis according to our refund policy

7. Service Modifications and Termination

We reserve the right to:

• Modify Services: Update, modify, or discontinue any part of our services at our discretion
• Suspend Access: Temporarily suspend access for maintenance, security, or policy violations
• Terminate Services: Terminate services with appropriate notice as outlined in individual agreements
• Update Terms: Modify these Terms with notice to users

Continued use after modifications constitutes acceptance of updated terms.

8. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Disclaimers and Limitation of Liability

Service Disclaimers: Our services are provided "as is" without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability: To the maximum extent permitted by applicable law, Force Media shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services.

Maximum Liability: In no event shall our total liability to you for all damages exceed the amount paid by you to Force Media in the twelve (12) months preceding the claim.

10. Indemnification

You agree to defend, indemnify, and hold harmless Force Media and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms or your use of our services.

11. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Kuwait. Any disputes arising under these Terms shall be resolved through good faith negotiation, and if necessary, through appropriate legal channels in Kuwait.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy and any individual service agreements, constitute the entire agreement between you and Force Media regarding the use of our services.

15. Updates to Terms

We reserve the right to update these Terms at any time. We will notify users of any material changes by posting the new Terms on our website and updating the "Last Updated" date. Continued use of our services after such changes constitutes acceptance of the updated Terms.
